These Terms of Service ("Terms") govern your access to and use of the website at vorsal.com and its content (the "Site"), operated by Vorsal Pte. Ltd. (UEN [Company/UEN No.]), registered at [address, Singapore] ("Vorsal", "we", "us", "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1.Scope — the Site only
These Terms apply to the public website. They do not grant any right to use the Vorsal OS platform, products, or services, which are licensed separately under a written agreement (such as a master services agreement and order form, and, where applicable, a data processing addendum) (the "Commercial Agreement"). If anything in these Terms conflicts with a Commercial Agreement in relation to the products or services, the Commercial Agreement prevails for those products or services.
2.Who may use the Site
The Site is intended for business and professional users. By using it, you confirm you have the legal capacity to agree to these Terms and, if you act for an organisation, that you are authorised to bind it. Nothing in these Terms excludes or limits any non-waivable statutory rights you may have, including mandatory consumer-protection rights under applicable EU/EEA or other local law.
3.Acceptable use
You agree not to:
- use the Site unlawfully, or in breach of these Terms or any applicable law or regulation;
- copy, scrape, harvest, or systematically extract content or data except as expressly permitted;
- introduce malware, attempt to gain unauthorised access, or disrupt or overload the Site or its infrastructure;
- probe, scan, or test the vulnerability of the Site without our prior written consent;
- reverse engineer, decompile, or attempt to derive source from any software made available through the Site, except to the extent this restriction is prohibited by applicable law;
- misrepresent your identity or affiliation, or submit information you are not entitled to share; or
- use the Site to infringe intellectual property, privacy, or other rights of any person.
We may suspend or terminate your access if you breach these Terms or to protect the Site, our users, or third parties.
4.Intellectual property
The Site and its content — including text, graphics, the Vorsal name, the Vorsal logo and cube mark, design, and software — are owned by or licensed to Vorsal and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your internal, lawful, informational purposes. No other rights are granted. All trademarks, logos, and brand features of third parties remain the property of their respective owners.
Feedback. If you send us ideas, suggestions, or feedback about the Site or our products, you grant us a perpetual, worldwide, royalty-free licence to use it without restriction or obligation to you.
5.Demo requests and communications
When you submit a demo, contact, or waitlist form, you agree to provide accurate information and consent to our contacting you about your enquiry and, where applicable, the early-access waitlist. Our handling of your personal data is described in our Privacy Policy. You must not submit confidential information of any third party through the Site.
6.Third-party content and links
The Site may reference or link to third-party websites, platforms, and content, including syndicated material we publish on Substack and Medium. We do not control and are not responsible for third-party content, products, or practices, and links do not imply endorsement. Your use of third-party services is governed by their terms.
7.Privacy
Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference.
8.Disclaimers
To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that content is accurate, complete, or current. Site content is general information only and is not professional advice. Any statements about future products, features, or plans are forward-looking and not commitments.
9.Limitation of liability
To the fullest extent permitted by law, Vorsal and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Site, even if advised of the possibility.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed [SGD 100].
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that may not be lawfully excluded, including mandatory consumer rights in the EU/EEA or your jurisdiction.
10.Indemnity
If you use the Site as a business user, you agree to indemnify and hold harmless Vorsal and its affiliates from claims, losses, and reasonable costs (including legal fees) arising from your breach of these Terms or misuse of the Site, to the extent permitted by applicable law and except where caused by our own fault.
11.Changes to the Site and these Terms
We may modify, suspend, or discontinue the Site (or any part) at any time. We may also update these Terms from time to time; the revised version takes effect when posted with a new "Last updated" date. Your continued use of the Site after changes constitutes acceptance, to the extent permitted by law.
12.Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes) are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction, except that, where you are a consumer protected by mandatory laws of your country of residence (including in the EU/EEA), you retain the benefit of those mandatory protections and any right to bring proceedings in your local courts that cannot be excluded.
13.General
- Entire agreement (Site). These Terms and the documents referenced in them are the entire agreement between you and us regarding the Site.
- Severability. If any provision is found unenforceable, the rest remain in effect.
